HALO IQ Partner Addendum (PEOs, brokers, consultants and white-label users)

Effective January 1, 2026 · Part of the HALO IQ Terms of Service for customers that serve Client Companies · https://handbookiq.ai/legal/partner-addendum

1. Who this applies to, flow-down and no co-employment

This Addendum applies to any Customer that uses the Services to serve Client Companies: professional employer organizations, administrative services organizations, insurance brokers and MGAs, HR consultants, payroll providers and anyone using a white-label or partner tier ("Partner"). It supplements the HALO IQ Terms of Service and controls over them where they conflict.

Flow-down. Partner will have a written agreement with each Client Company before giving it access to the Services or delivering Output to it. That agreement must: (a) bind the Client Company and its users to restrictions on use at least as protective as sections 6, 7 and 8 of the Terms; (b) state that Output is not legal advice, was not reviewed by an attorney unless a review record says so, and must be reviewed by the Client Company before use; (c) disclaim HALO IQ's liability to the Client Company and name HALO IQ as an intended third-party beneficiary of those disclaimers; (d) obtain the Client Company's authority to provide its employees' Personal Information to Partner and HALO IQ; and (e) not make any warranty about the Services beyond what HALO IQ gives Partner. Partner is responsible to HALO IQ for every Client Company and its users as if they were Partner's own Authorized Users, whether or not the flow-down was obtained.

No co-employment. HALO IQ is a software provider. It is not a party to any co-employment, client service, broker, carrier or administrative services agreement between Partner and a Client Company, exercises no control over any employee, and is not an employer, co-employer, joint employer, PEO, administrator, fiduciary, plan sponsor or agent of Partner, any Client Company or any worker. Partner will not describe HALO IQ otherwise to Client Companies, employees, carriers or regulators.

Licenses and registrations. Partner is solely responsible for holding and maintaining every license, registration, bond, insurance and authority its business requires (including PEO registration, insurance producer licensing and any state-specific requirements), and for the professional obligations that attach to its role. The Services do not supply, and HALO IQ does not verify, any of them.

2. Branding, white-label and reseller limits

White-label. Where Partner's Order includes white-label rights, Partner may present the Services and Output to Client Companies under Partner's name and marks, on Partner's subdomain or custom domain, and may remove HALO IQ branding from the customer-facing interface and Output, except that: the front-matter statement, source appendix and evidence levels in Output may not be altered or removed; HALO IQ's copyright notices in code, Documentation and the policy library remain; and Partner will not represent that it built the Services or owns the policy library.

Resale. Partner may charge Client Companies for access and Output at prices Partner sets. Partner may not sublicense the Services to another reseller, offer them to the public as a stand-alone product, or exceed the Client Company, user or module counts in its Order. Partner's fees to HALO IQ are per the Order and are not contingent on Partner's collections.

Marketing claims. Partner will not make, and will ensure its Client Companies do not make, any claim that the Services or Output are attorney-reviewed, attorney-quality, legal advice, guaranteed, or ensure compliance, and will not compare HALO IQ to attorneys or law firms in marketing. Partner may use the claims HALO IQ publishes for the Services and no others.

Support. Partner provides first-line support to its Client Companies. HALO IQ supports Partner's designated administrators per the Documentation and has no support obligation to Client Companies directly unless the Order says so.

3. Data roles, responsibility and indemnity

Data roles. Partner determines, together with each Client Company, the purposes of processing Client Company employee data in the Services; HALO IQ is Partner's service provider under the Data Processing Addendum for all of it. Partner represents that each Client Company has authorized the processing, that Partner's agreements with Client Companies permit disclosure to HALO IQ and its Subprocessors, and that Partner will route individual privacy requests from Client Company employees appropriately. Partner is responsible for configuring tenant, Client Company and user permissions so that each Client Company sees only its own data.

Output for Client Companies. Partner is responsible for reviewing Output before delivering it to a Client Company, for completing every company-specific value, for applying the correct states, cities and headcount for that Client Company, and for the advice Partner gives about it. A handbook or audit delivered under Partner's name is Partner's deliverable.

Indemnity. In addition to section 12 of the Terms, Partner will defend and indemnify HALO IQ against any claim by a Client Company, its employees or applicants, a carrier, a regulator or any other third party arising from Partner's services, Partner's agreements with Client Companies, Partner's co-employment or brokerage relationships, Partner's marketing of the Services, or any failure to obtain the flow-down terms in section 1.

Termination. If the Terms end, Partner will stop offering the Services to Client Companies on the effective date; HALO IQ will keep Client Company data available for export for the period in the Terms and may, at a Client Company's request, offer the Client Company a direct account for its own data.
